Conditions Générales de Vente - (B2B)

FRENCH

1. La prestation comprend tout ce qui est explicitement listé dans le champ «Description de la prestation». De façon corollaire, elle ne comprend pas ce qui n'est pas explicité dans ce même champ. 

2. Sauf délai de paiement supplémentaire convenu par accord entre les deux parties et figurant sur la facture, le paiement s'effectue au plus tard au 30e jour suivant la date de facturation. Tout retard de paiement pourra donner lieu à des pénalités de retard exigibles sans rappel, au taux de 8% de la facture totale par mois de retard, ainsi qu'à une indemnité forfaitaire de 40€. Paiements par virement bancaire ou par chèque à l'ordre de «ADES Concept Creation». Pas d'escompte en cas de paiement anticipé.

3. Ne seront cédés au client pour l'œuvre décrite que les droits patrimoniaux explicitement énoncés dans les conditions de cession, à l'exclusion de tout autre, et ce, dans les limites y figurant également. Il est rappelé que le droit moral d'une création (comprenant entre autres droit au respect de l'œuvre et droit au respect du nom) reste attaché à son auteur de manière perpétuelle et imprescriptible. Toute représentation ou reproduction intégrale ou partielle faite sans le consentement de l'auteur ou de ses ayants droit est illicite, et punie selon les lois relatives au délit de contrefaçon. Il en est de même pour la traduction, l'adaptation ou la transformation, l'arrangement ou la reproduction par un art ou un procédé quelconque.

4. La totalité de la production et des droits s'y rapportant, objet de la présente commande, demeure la propriété entière et exclusive de ADES Concept creation tant que les factures émises par ADES Concept Creation ne sont pas payées en totalité par la société cliente, à concurrence du montant global de la commande et des avenants éventuels conclus en cours de prestation. De façon corollaire, la société cliente deviendra propriétaire de fait des droits cédés à compter du règlement final et soldant de toutes les factures émises par ADES Concept Creation dans le cadre de la commande. 

5.La livraison éventuelle des sources ou fichiers de travail relatifs à la présente commande ne se fera qu'en cas de nécessité induite par la stricte exploitation de l'œuvre prévue dans les conditions de cession ou dans un avenant ultérieur qui sera définie entre les deux parties. 

6. ADES Concept Creation se réserve le droit de mentionner sa réalisation pour la société cliente comme référence et de citer des extraits textuels ou iconographiques des œuvres concernées dans le strict cadre de ses démarches de prospection commerciale, de communication externe et de publicité. Toute réserve au droit de publicité d'ADES Concept Creation devra être notifiée et négociée avant la signature du devis et mentionnée sur la facture. 

7.La société cliente assume pleine et entière responsabilité des choix réalisés en matière de contenus textuels et iconographiques figurant dans la réalisation livrée par ADES Concept Creation , tout comme de l'exploitation qui en sera faite, et notamment de la conformité de cette dernière avec les réglementations en vigueur. Elle assure également être propriétaire des droits nécessaires à l'exploitation de tous les éléments créatifs textuels et iconographiques fournis par elle à ADES Concept Creation dans le cadre de sa mission, et garantit ADES Concept Creation contre toute plainte tierce relative à la violation des droits de ces éléments.

1. The service includes everything explicitly listed in the "Description of the service" field. As a corollary, it does not understand what is not explained in this same field. 

2. Unless an additional payment deadline is agreed between the two parties and appears on the invoice, payment is made no later than the 30th day following the invoice date. Any late payment may give rise to late payment penalties payable without reminder, at the rate of 8% of the total invoice per month of delay, as well as a fixed compensation of €40. Payments by bank transfer or check payable to "ADES Concept Creation". No discount for early payment. 

3. Only the economic rights explicitly stated in the conditions of transfer will be transferred to the client for the work described, to the exclusion of all others, and this, within the limits also appearing therein. It is recalled that the moral right of a creation (including, among other things, the right to respect the work and the right to respect the name) remains attached to its author in a perpetual and imprescriptible manner. Any representation or reproduction in whole or in part made without the consent of the author or his beneficiaries is illegal, and punishable according to the laws relating to the offense of counterfeiting. The same applies to translation, adaptation or transformation, arrangement or reproduction by any art or process. 

4. The entire production and related rights, subject of this order, remain the entire and exclusive property of ADES Concept Creation as long as the invoices issued by ADES Concept Creation are not paid in full by the client company, to competition of the total amount of the order and any amendments concluded during the service. As a corollary, the client company will become the de facto owner of the rights transferred from the final payment and settlement of all invoices issued by ADES Concept Creation within the framework of the order. 

5. The possible delivery of sources or working files relating to this order will only be made in the event of necessity induced by the strict exploitation of the work provided for in the conditions of transfer or in a subsequent amendment which will be defined between the two parts. 

6. ADES Concept Creation reserves the right to mention his creation for the client company as a reference and to cite textual or iconographic extracts from the works concerned within the strict framework of his commercial prospecting, external communication and advertising efforts. Any reservation to ADES Concept Creation ' right of publicity must be notified and negotiated before signing the quote and mentioned on the invoice. 

7.The client company assumes full and complete responsibility for the choices made in terms of textual and iconographic content appearing in the production delivered by ADES Concept Creation , as well as for the exploitation which will be made of it, and in particular for the conformity of the latter with the regulations in force. It also ensures that it is the owner of the rights necessary for the exploitation of all the creative textual and iconographic elements provided by it to ADES Concept Creation as part of its mission, and guarantees ADES Concept Creation against any third-party complaint relating to the violation of the rights of these elements.
